1. Acceptance of Terms

By accessing or using SilentSpend, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not access the service.

SilentSpend is an invite-only intelligence platform. Access is granted at our sole discretion and may be revoked at any time without prior notice.

2. Service Description

SilentSpend provides early detection of monetization and pricing changes across software companies. Our signals are derived from public-facing revenue surfaces including pricing pages, checkout flows, and billing documentation.

All information is provided "as is" without warranty of any kind. We do not guarantee accuracy, completeness, or timeliness of any signal or data point.

3. Access and Membership

Access to SilentSpend is invite-only and subject to manual approval. We review every request to maintain signal quality and community standards.

Membership tiers (Observer, Operator, Private) determine feature access and signal depth. Tier changes may be initiated by either party with 7 days notice.

You are responsible for maintaining the confidentiality of your account credentials. Any activity under your account is your responsibility.

4. Acceptable Use

You agree not to:

• Share your account access with unauthorized parties
• Scrape, automate, or systematically extract platform data
• Reverse engineer or attempt to access restricted areas
• Republish signals in public forums or social media without explicit permission
• Use the service for illegal purposes or to harm others

Violation of acceptable use terms may result in immediate account termination without refund.

5. Payment and Billing

Paid memberships are billed monthly or annually as selected. All fees are non-refundable except as outlined in our Refund Policy.

We reserve the right to modify pricing with 30 days advance notice. Price changes do not affect existing subscriptions until renewal.

Failed payments may result in service suspension. Access will be restored upon successful payment within 7 days.

6. Intellectual Property

All content, signals, analysis, and platform features are the intellectual property of SilentSpend. You receive a limited, non-exclusive license to access this content for your internal business use only.

You may not redistribute, resell, or create derivative works from SilentSpend content without explicit written permission.

7. Limitation of Liability

SilentSpend and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the service.

Our maximum liability for any claim shall not exceed the amount you paid us in the preceding 12 months.

8. Termination

Either party may terminate the agreement at any time. You may cancel your subscription through your account settings.

We reserve the right to suspend or terminate accounts that violate these terms, engage in abusive behavior, or compromise platform integrity.

Upon termination, your access will cease immediately. Data retention follows our Privacy Policy.

9. Changes to Terms

We may update these Terms of Service from time to time. Material changes will be communicated via email at least 14 days before taking effect.

Continued use of SilentSpend after changes constitutes acceptance of the new terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of SilentSpend shall be resolved through binding arbitration in Amsterdam, Netherlands.
